Andrew Petry - Partner, Banking and Finance

Andrew is a partner in AG’s well respected Banking team. He has a broad range of experience in energy and infrastructure work but has particular experience in project finance, PPP, banking and structured finance in those sectors. Andrew acts for financiers, infrastructure funds, project sponsors and public sector entities. His relevant experience includes advising:

  • Royal Vopak and Gasunie on the project financing of Gate LNG terminal which will be constructed in the Port of Rotterdam and which will be the first LNG terminal in the Netherlands
  • ABN AMRO Infrastructure fund on their bid for a minority stake in Oiltanking GmbH's businesses in Malta, the Netherlands and Singapore
  • AES on a structured funding of its Kazakh subsidiaries
  • Rabobank International on the project financing of a bioethanol plant to be constructed in the Port of Amsterdam

Mark Clough - Partner, Commercial

Mark is the firm's London Competition Team Leader. He is the only specialist competition solicitor to be a QC. He has practised for over 20 years before the UK competition authorities and UK courts as well as the European Commission and European Courts in Luxembourg.

Recent cases include: a cartel appeal and interim relief application in the European Court, advising a client in the interlocutory injunction application brought by the BAPW in the High Court, successfully defending interlocutory injunction proceedings in Northern Ireland, advising a bank on competition law issues in the unauthorised overdraft charges case brought in the High Court by the OFT, advising AAH Pharmaceuticals and Lloyds Pharmacy on their complaints and interim measures applications to the OFT regarding the changes made by pharmaceutical manufacturers to the distribution of medicines in the UK and the resulting OFT market study.

He is recognised by Global Competition Review, Legal 500, PLC and Chambers UK as a leading expert in his field.


Jacqui Langley White - Partner, Infrastructure Projects and Energy

Jacqui is one of the firm's most experienced PFI/PPP lawyers. She has worked on PFI/PPP projects for the private and public sectors on a wide range of projects in a number of sectors. She is particularly experienced in working on complex projects and drafting bespoke documentation. She is recognised as a strong commercial negotiator who gets deals done.

She has also instructed on drafting standard documents for Local Partnerships (formerly 4ps) to be used by local authorities on PFI projects.  Jacqui has close links with Local Partnerships and PUK and drafted the first change protocol which reflected the principles set out in SoPC4.  This accommodation based document has been adapted for use in all PFI contracts issued by Local Partnerships as well as being used by PUK as the base for the waste sector change protocol and by Partnerships for Schools in drafting the BSF change protocol.

She has recently assisted in updating a suite of template documents for a major rail operator.

Recent transactions include:

  • Advising the Ministry of Defence on the complicated unique Royal School of Military Engineering Project - a training-based project with no senior funder
  • Advising the public sector on the first "batched" street lighting project - Barnet and Enfield; drafting the streetlighting and social care accommodation model contract and associated documentation to be issued by Local Partnerships in July 2006
  • Acting for private sector consortium on Newport Roads Project construction of a new road
  • Advising three Trusts on the 3 Shires Mental Health Batch – a pathfinder project whereby three schemes were procured jointly but each had a separate project contract (final scheme closed October 2007)

Stephen Tainsh - Managing Associate, Infrastructure Projects and Energy

Stephen advises lenders, project sponsors, equity investors and the public sector on a range of project financed transactions across various sectors including health, education and waste.  He has been involved with several innovative transactions including managed equipment services deals in the UK and the US and the restructuring on an accommodation portfolio consequent upon the decline of Jarvis.  Recent projects include:

  • Acting for the senior lenders in relation to the Greater Manchester Waste project which is one of the largest waste deals in Europe and is notable for being the only deal to date where TIFU has participated
  • Advising numerous Primary Care Trusts and the Department of Health in relation to the procurement of clinical services from the private sector
  • Acting for funders in relation to Leicester BSF, Waltham Forest BSF and Salford (2) BSF
  • Acting for RBS in relation to managed equipment services transactions in Florida, Austria and Southport (UK)
  • Acting for Barclays Private Equity in relation to the sale of its interests in a portfolio of LIFT projects
  • Acting for the Ministry of Defence in relation to the Royal School of Military Engineering project

Nancy Walmsley - Managing Associate, Infrastructure Projects and Energy

Nancy joined the IPE team in September 2001 after spending two years with Cheshire County Council advising the Council, local Fire and Police Authorities and other public bodies on a wide range of legal and policy matters.

She advises both the public and private sectors and takes a primary role in advising throughout a project, leading on contract negotiations (including at subcontract level) with subcontractors, funders, sponsors and procuring authorities.

Recent major projects that Nancy has advised on include: Bradford BSF and on its Phase 2 schemes; Salford and Wigan BSF with particular responsibility for the multi Local Authority Strategic Partnering Agreement and LEP Shareholder's Agreement; Lancashire BSF which closed in December 2007.  Nancy also advised the Council on its Phase 3 project and on the proposed Academy at Accrington; Manchester Schools and Salford Schools PFI2; Blackpool BSF advising Eric Wright Group Limited on its bid for this Wave 5 BSF scheme.

CPD stands for Continuing Professional Development’. It is essentially a philosophy, which maintains that in order to be effective, learning should be organised and structured. The most common definition is:

‘A commitment to structured skills and knowledge enhancement for Personal or Professional competence’

CPD is a common requirement of individual membership with professional bodies and Institutes. Increasingly, employers also expect their staff to undertake regular CPD activities.

Undertaken over a period of time, CPD ensures that educational qualifications do not become obsolete, and allows for best practice and professional standards to be upheld.

CPD can be undertaken through a variety of learning activities including instructor led training courses, seminars and conferences, e:learning modules or structured reading.


There are approximately 470 institutes in the UK across all industry sectors, with a collective membership of circa 4 million professionals, and they all expect their members to undertake CPD.

For some institutes undertaking CPD is mandatory e.g. accountancy and law, and linked to a licence to practice, for others it’s obligatory. By ensuring that their members undertake CPD, the professional bodies seek to ensure that professional standards, legislative awareness and ethical practices are maintained.

CPD Schemes often run over the period of a year and the institutes generally provide online tools for their members to record and reflect on their CPD activities.


Professional bodies and Institutes CPD schemes are either structured as ‘Input’ or ‘Output’ based.

‘Input’ based schemes list a precise number of CPD hours that individuals must achieve within a given time period. These schemes can also use different ‘currencies’ such as points, merits, units or credits, where an individual must accumulate the number required. These currencies are usually based on time i.e. 1 CPD point = 1 hour of learning.

‘Output’ based schemes are learner centred. They require individuals to set learning goals that align to professional competencies, or personal development objectives. These schemes also list different ways to achieve the learning goals e.g. training courses, seminars or e:learning, which enables an individual to complete their CPD through their preferred mode of learning.

The majority of Input and Output based schemes actively encourage individuals to seek appropriate CPD activities independently.

As a formal provider of CPD certified activities, SMI Group can provide an indication of the learning benefit gained and the typical completion. However, it is ultimately the responsibility of the delegate to evaluate their learning, and record it correctly in line with their professional body’s or employers requirements.


Increasingly, international and emerging markets are ‘professionalising’ their workforces and looking to the UK to benchmark educational standards. The undertaking of CPD is now increasingly expected of any individual employed within today’s global marketplace.
